GENERAL TERMS AND CONDITIONS FOR CONTRACTING SERVICES – REVOIXE

    1. INTRODUCTION AND PURPOSE

1.1. These general terms and conditions of contracting (hereinafter, the "General Terms") constitute the regulatory framework for the services (hereinafter, the "Services") provided by REVOIXE (hereinafter, "Revoixe") to its clients and users, as a complement to the specific terms and conditions (hereinafter, the "Specific Terms") agreed for the provision of Services. Both documents, General Terms and Specific Terms, together constitute the service proposal, agreement, or collaboration accepted by the client and Revoixe (hereinafter, the "Proposal").

1.2. In all matters where the Specific Terms contradict, limit, or modify the provisions of these General Terms, the provisions of the Specific Terms shall prevail.

1.3. Acceptance of the Specific Terms that refer to these General Terms implies knowledge and full acceptance of them.

1.4. The client of Revoixe (hereinafter, the "Client") shall be considered any natural or legal person — including but not limited to designers, brands, spaces, venues, or partners — who accepts a Service Proposal based on these General Terms and the applicable Specific Terms.

1.5. Hereinafter, Revoixe and the Client shall be referred to jointly as the "Parties" and individually as the "Party".

    2. LEGAL FRAMEWORK

2.1. The provision of services by Revoixe is subject to the applicable laws and regulations in force in the jurisdiction where Revoixe operates and/or where the Services are performed.

2.2. Revoixe is a platform and service provider specialized in matching designers, brands, and spaces, facilitating collaborations including but not limited to temporary stores, showroom placements, retail collaborations, events, space rentals, consignment agreements, and related project management or consulting services.

    3. COMMUNICATIONS AND LANGUAGES

3.1. The Parties undertake to keep their communications in writing, through email, platform messaging, or other channels that allow a record of them.

3.2. If, for reasons of urgency, the Parties communicate through other means, they must confirm in writing what has been agreed.

3.3. The Client shall be solely responsible for keeping their personal, contact, and billing information updated, necessary for the correct provision of Revoixe Services. Revoixe shall fulfill its communication obligations by sending information to the last contact details provided by the Client.

3.4. Communications between the Parties, as well as materials, documents, and deliverables, will generally be written in English or Italian, depending on the location where the service is provided. Upon written request and prior to the start of the Services, Revoixe may provide translations where reasonably possible.

    4. FORM AND CONDITIONS OF PAYMENT

4.1. The economic conditions of the contracted Services shall be those established in the Proposal signed or accepted by the Parties. These General Terms establish the general regulatory framework for such Services.

4.2. The default payment method for Services contracted to Revoixe by the Client shall be bank transfer, SEPA direct debit, or other digital payment methods indicated by Revoixe.

4.3. If the Parties agree on a different payment method, this must be expressly stated in the Specific Terms and accepted by Revoixe.

4.4. Late payment of invoices issued by Revoixe will accrue interest equivalent to the legal interest rate plus two percentage points (+2) applied to the outstanding amount. This penalty shall accrue from the day following the payment due date, without the need for formal notice.

4.5. In the event of non-payment, Revoixe may suspend access to the platform, matching services, project management, or any ongoing Services until payment is received. Revoixe shall not be liable for any damages arising from such suspension.

4.6. Certain Services, including but not limited to matchmaking, event organization, space bookings, or project management, may require a deposit of at least fifty percent (50%) of the total price. The remaining balance will be invoiced according to the milestones defined in the Proposal.

4.7. Services with a value below ONE THOUSAND EUROS (€1,000), preconfigured packages, or fixed-price blocks shall require full advance payment. Revoixe may delay service activation until payment is received.

4.8. Monthly fees, subscriptions, or retainers shall be invoiced in advance each month. Failure to complete payment may result in suspension of Services.

4.9. Where a minimum commitment period is agreed, the Client may not unilaterally terminate the service before the end of such period. In case of early termination, remaining fees for the commitment period shall remain payable.

4.10. The Parties agree to adjust fees and scope in good faith based on the actual needs of the collaboration, including changes in number of locations, designers, events, or duration.

4.11. If the Client does not submit any complaint within ten (10) days following delivery of Services, the Services shall be considered accepted. Any modification or additional work shall require a separate agreement.

4.12. Unless otherwise stated, all prices exclude applicable taxes, duties, third-party costs, venue fees, logistics expenses, marketing expenses, or any other external costs. Such costs shall be invoiced separately where applicable.

4.13. Revoixe may propose additional expenses necessary for proper execution of the Services (e.g., event production, logistics, staffing, marketing). Such expenses must be approved by the Client in advance.

    5. REVOIXE RESPONSIBILITIES

Where applicable, Revoixe's liability arising from the execution of Services commissioned by the Client shall be limited to the amount received from the Client for the Services giving rise to such liability during the twelve (12) months immediately preceding the claim.

Under no circumstances shall Revoixe be liable for indirect damages, loss of profits, loss of business opportunities, or results deriving from collaborations between designers and spaces facilitated through the platform.

Revoixe reserves the right to monitor or limit communications to ensure compliance with these Terms and to prevent circumvention of the Platform.

    7.1.3. Collaboration Request

Designers/Brands may submit a request to collaborate with a Space. Submission of a request does not constitute confirmation. The Space Owner may accept or reject the request based on availability or other considerations.

    7.1.4. Collaboration Confirmation

Once accepted by the Space Owner, the collaboration is confirmed under the agreed Specific Terms. Additional services selected by either Party will be considered part of the same Transaction.

    7.1.5. Additional Services

Revoixe may provide event templates, promotional guidance, marketing suggestions, and coordination tools. Revoixe does not organize events, manage venues, provide staffing, or assume operational responsibility. All event execution responsibilities remain with the Space Owner and Designer/Brand.

    7.1.6. Agreement Generation

Upon confirmation, Revoixe may generate a summary of collaboration terms, which may include duration, pricing model (rent, revenue share, consignment, or hybrid), responsibilities, and additional services. This summary, together with these General Terms, constitutes the binding agreement between the Parties.

    7.1.7. Acceptance and Payment

Where applicable, the Designer/Brand must accept the collaboration terms and complete payment through the methods provided by Revoixe.

    7.1.8. Confirmation

Once payment is received, Revoixe will confirm the collaboration and notify the Parties.

    8. PAYMENT BY DESIGNERS OR BRANDS

    8.2. Payments may include:

    (c) revenue-sharing percentages
    (d) event participation fees
    (e) Revoixe platform or management fees
    (f) additional services

8.3. Revoixe does not collect, process, or hold payments between Designers/Brands and Space Owners. Payments related to collaborations are made directly between the Parties outside the Platform.

8.4. Revoixe may apply a service fee for facilitating the collaboration. Such fee will be communicated prior to confirmation.

8.5. Revoixe may issue invoices detailing:

    • Space usage fees
    • commissions or revenue shares
    • additional services
    • platform fees
    • applicable taxes

8.6. Unless explicitly agreed otherwise, Revoixe does not assume responsibility for the execution of the collaboration between the Parties.

8.7. In the event of payment disputes, chargebacks, or payment reversals initiated by a Designer/Brand or Space Owner, the user initiating the payment shall remain responsible for the full amount due, including any fees, penalties, or administrative costs incurred by Revoixe. Revoixe reserves the right to recover such amounts by any lawful means.

8.8. For the purpose of this clause, a collaboration is considered confirmed when the Parties reach a written or verbal agreement regarding the use of a Space or organization of an event.

    9. PAYMENTS TO SPACE OWNERS

9.1. Space Owners may pay Revoixe a commission for use of the Platform, calculated as a percentage of the collaboration value or as a fixed fee.

9.2. Revoixe does not receive, hold, or transfer any funds related to collaborations between Designers/Brands and Space Owners. All payments are handled directly between the parties.

9.3. Payment schedules may vary depending on the collaboration model, including:

    • upfront rental payment
    • split payments before and after activation
    • periodic settlements for consignment sales
    • revenue-sharing settlements

9.4. Revoixe will inform the Space Owner of settlement details for each Transaction.

9.5. Payments to Space Owners will generally be made by bank transfer to the account provided.

9.6. Revoixe shall be entitled to its fees for collaborations concluded between Parties introduced through the Platform, even if the final agreement is executed outside the Platform.

9.7. If amounts owed by the Space Owner exceed funds held by Revoixe, the Owner must pay the difference within the timeframe specified in the invoice.

    10. CANCELLATIONS AND REFUNDS

10.1. Unless otherwise agreed, Revoixe is not a party to the collaboration agreement between Designers/Brands and Space Owners. Any cancellation or refund terms are primarily governed by the agreement between those Parties.

10.2. Revoixe may offer standard cancellation policies that Space Owners can select when listing their Space:

    Flexible
Full refund if cancelled at least 24 hours before start date, excluding service fees.

    Moderate
Partial refund (typically 50%) if cancelled at least 7 days before start date.

    Strict
Partial refund if cancelled at least 30 days before start date; no refund afterward.

10.3. Revoixe does not process refunds. Any refund terms are agreed directly between Designers/Brands and Space Owners. Revoixe may assist in communication but assumes no responsibility for refund execution.

10.4. Revoixe may facilitate communication between Parties but is not responsible for the resolution of disputes.

10.5. In the event of a dispute, Revoixe may temporarily hold funds until the Parties reach an agreement.

10.6. If funds have already been transferred to the Space Owner, Revoixe is not responsible for issuing refunds unless otherwise agreed.

10.7. Additional services provided by third parties are subject to their own cancellation policies. Revoixe may assist in mediation but is not responsible for third-party performance.

    11. RESPONSIBILITIES AND OBLIGATIONS OF THE DESIGNER OR BRAND

10.1. Payment of the agreed collaboration price constitutes one of the main obligations of the Designer or Brand. Failure to comply with this obligation, or unjustified revocation of a committed or completed payment, may result in suspension or termination of the Account and may lead to legal action by Revoixe and/or the Space Owner.

10.2. Unless otherwise agreed, the Designer or Brand shall be solely responsible for hiring and managing personnel required for events, pop-ups, installations, or activations.

10.3. The Designer or Brand acknowledges that certain uses of a Space may require permits or licenses and undertakes to use the Space only for the purposes agreed with the Space Owner.

10.4. The Designer or Brand shall return the Space in substantially the same condition in which it was received, except for normal wear and tear, and shall ensure appropriate cleaning and maintenance.

10.5. The Designer or Brand shall maintain adequate public liability insurance covering damages to property, personal injury, and third-party claims arising from activities conducted within the Space. Upon request, proof of such insurance may be required prior to the start of the collaboration.

10.6. The Designer or Brand and the Space Owner expressly release Revoixe from liability arising from damages occurring within the Space during the collaboration.

10.7. Revoixe does not act as insurer, policyholder, or insurance provider. If insurance solutions are offered, Revoixe acts solely as intermediary facilitating access to third-party providers.

    12. RESPONSIBILITIES AND OBLIGATIONS OF THE SPACE OWNER

12.1. The Space Owner is solely responsible for providing accurate, complete, and up-to-date information regarding the Space, including dimensions, facilities, availability, permitted uses, and pricing.

12.2. The Space Owner shall correctly specify pricing, including applicable taxes and fees.

12.3. By uploading images, descriptions, or other materials, the Space Owner grants Revoixe a non-exclusive, royalty-free, worldwide license to use such content for platform operation and promotional purposes.

12.4. The Space Owner represents that it holds all necessary rights to publish such content and authorizes Revoixe to use it as described.

12.5. The Space Owner shall indemnify Revoixe against claims resulting from infringement of third-party rights related to content provided.

12.6. The Space Owner is responsible for maintaining the Space in usable condition and for covering utilities, taxes, and operational expenses unless otherwise agreed.

12.7. The Space Owner is responsible for ensuring that the Space complies with applicable laws and holds all necessary licenses for permitted activities. If the Space Owner is acting as manager rather than owner, proof of authorization must be provided upon request.

12.8. Revoixe does not independently verify the information provided by the Space Owner unless explicitly stated.

12.9. The Space Owner shall provide the Space in suitable condition and ensure that any complementary services offered comply with the described standards.

12.10. Designers/Brands and Space Owners authorize Revoixe to store communications exchanged through the Platform for up to two (2) years for compliance and dispute resolution purposes.

12.11. Collaborations concluded outside the Platform with parties discovered through Revoixe may still be subject to payment of Revoixe service fees.

12.12. Circumventing the Platform to avoid payment of fees constitutes a breach of these Terms and may result in suspension or termination of Accounts.

12.13. Space Owners shall respond to collaboration requests within a reasonable timeframe. Revoixe may cancel requests if no response is received within forty-eight (48) hours.

12.14. The Space Owner shall issue invoices to Designers/Brands for Space usage, unless Revoixe acts as payment intermediary.

12.15. Revoixe provides its Services "as is" and does not guarantee occupancy, bookings, or revenue.

12.16. If a Designer/Brand and a Space Owner who were introduced through the Platform enter into a collaboration outside the Platform within twelve (12) months of their initial introduction, Revoixe shall remain entitled to its service fees as if the collaboration had been concluded through the Platform.

12.17. The Space Owner is solely responsible for ensuring that the Space complies with all applicable safety, zoning, licensing, and regulatory requirements. Revoixe does not verify such compliance and shall not be liable for any violations or resulting damages.

    13. INTELLECTUAL PROPERTY RIGHTS

13.1. Revoixe owns all intellectual property rights related to the Platform, including software, branding, content, structure, and design.

16.7. Revoixe shall not be responsible for any personal injury, property damage, or losses occurring during events, installations, or collaborations conducted within Spaces. Such responsibility lies solely with the Designer/Brand and Space Owner involved.
